Terms of Use

1. Acceptance of Terms

Welcome to soundHub for soundcloud ("the Channel," "we," "us," or "our"), a Roku streaming channel operated by ByteNode Tech. By installing, accessing, or using the Channel on any Roku streaming player, Roku TV, or authorized platform, you acknowledge that you have read, understood, and agree to be legally bound by these Terms of Use and our accompanying Privacy Policy.

If you do not agree to these terms, you must immediately remove the Channel from your Roku device and cease all usage.

2. Description of Service & Third-Party Affiliation

soundHub for soundcloud is an independent developer application designed exclusively to provide a television-optimized user interface for browsing, managing, and playing audio content hosted on SoundCloud.

3. Account Authentication & Eligibility

To access full functionality within the Channel, you must authenticate using a secure OAuth login provided by SoundCloud. You represent and warrant that you possess a valid, active account with SoundCloud and are in good standing with their platform. You are entirely responsible for maintaining the confidentiality of your credentials and for all activities that occur under your account session on your Roku hardware.

4. In-App Subscriptions & Billing via Roku Pay

soundHub for soundcloud offers optional premium tiers via in-app subscriptions. By subscribing, you agree to the following financial terms:

• Merchant of Record: All financial transactions, billing profiles, and payment processing are managed exclusively by Roku, Inc. through Roku Pay.
• Automatic Renewal: Subscriptions are billed on a recurring periodic basis (e.g., monthly or annually) as selected at the time of purchase. Your subscription will automatically renew at the end of each billing cycle unless you disable automatic renewal through your Roku Account settings at least 24 hours before the current period ends.
• Cancellations & Refunds: You can manage or cancel your active subscriptions at any time by logging into your account portal at https://my.roku.com or navigating to the options menu on your Roku device. All refunds, chargebacks, or billing disputes are subject to Roku's standard refund policies and must be handled directly through Roku Customer Support. ByteNode Tech cannot directly issue refunds for transactions processed via Roku Pay.
• Pricing Adjustments: We reserve the right to modify subscription pricing for premium tiers. Any structural price changes will be communicated to you via the Roku platform interface or your registered email address prior to your scheduled renewal date.

5. Permitted Use & Prohibited Conduct

You are granted a limited, revocable, non-exclusive, non-transferable license to use the Channel strictly for personal, non-commercial entertainment purposes. As a condition of your use, you explicitly agree not to:

• Engage in "stream ripping," downloading, caching, recording, or duplicating any audio content streamed through the Channel.
• Modify, decompile, reverse engineer, or attempt to extract the source code of the application.
• Bypass, alter, or manipulate digital rights management (DRM) mechanisms or API rate limits enforced by either the Channel, the Roku platform, or SoundCloud.
• Use the Channel to broadcast commercial advertisements or charge fees to others for public listening.

6. Compliance with Platform Policies

Your use of soundHub for soundcloud is simultaneously subject to the global terms and guidelines established by our distribution partners. You agree to fully comply with:

• The Roku Terms of Service and platform developer guidelines.
• The SoundCloud Terms of Use (https://soundcloud.com/terms-of-use).

Any violation of the terms mandated by Roku or SoundCloud will result in the immediate and automatic termination of your access to the Channel.

7. Modifications & Availability of Content

Because the Channel connects dynamically to external APIs, we cannot guarantee the permanent availability of any specific track, artist playlist, or function. We reserve the right to alter, update, or temporarily suspend the Channel to maintain compatibility with Roku OS updates or changes made to SoundCloud's public developer API ecosystem. ByteNode Tech is not liable for any content omissions or service outages caused by third-party systems.

8. Disclaimer of Warranties

THE CHANNEL IS PROVIDED TO YOU ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMISSIBLE UNDER APPLICABLE LAW, BYTENODE TECH AND ITS DISTRIBUTION PARTNERS (INCLUDING ROKU, INC.) DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE CHANNEL WILL BE UNINTERRUPTED, ERROR-FREE, OR VIRUS-FREE.

9. Limitation of Liability

IN NO EVENT SHALL BYTENODE TECH, ITS DIRECTORS, EMPLOYEES, OR AGENTS, NOR ROKU, INC., BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF, OR INABILITY TO USE, THE CHANNEL. THIS INCLUDES LOSS OF DATA, DEVICE MALFUNCTION, OR SERVICE INTERRUPTIONS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

10. Governing Law

These Terms of Use shall be governed by and interpreted in accordance with the laws of the jurisdiction in which ByteNode Tech operates, without giving effect to any principles of conflicts of law. You agree that any legal action arising out of your use of the Channel must be filed in the appropriate courts located within our operational jurisdiction.

11. Changes to These Terms

We may update these Terms of Use periodically to match platform updates or compliance adjustments. The "Last Updated" date at the top of this document will reflect the newest version. Your continued use of the Channel following the publication of changes signifies your formal acceptance of the updated terms.
